This referral fee agreement (“Agreement”) is made effective upon submission by and between ELECTRIC EYE AGENCY, LLC (“Electric Eye”) located at 421 W. State St., Columbus, OH 43215 and the program applicant (“Referrer”). 

IN CONSIDERATION of the engagement of Referrer by Electric Eye Agency, LLC pursuant to the terms and conditions set forth below, and for other good and valuable consideration, the adequacy of which are hereby acknowledged, the parties to this Agreement do mutually covenant and agree as follows:

1. Referrer will seek to introduce Electric Eye to relevant Clients and Companies for the purposes of enabling Electric Eye to pitch and potentially engage these contacts for the provision of Electric Eye’s services.

2. Electric Eye will pay Referrer a referral fee equivalent to 10% of the first 6 months project, retainer or consulting fee(s) (as described below) for each new client it retains under a service agreement that directly resulted from an introduction initiated by Referrer to the newly engaged client.

3. The project, retainer or consulting fee(s) represents the product development/service fee charged to a client for specific projects within the first 6 months of an engagement pursuant to a statement of work under a relevant service agreement, and excludes any subsequent engagements initiated after the first 6 months of service.

4. The referral fee is considered earned and payable only upon receipt by Electric Eye of the amounts due from the client for the Project Fee under the relevant agreements. For the avoidance of doubt, no referral fee shall be payable to Referrer hereunder for amounts not paid to Electric Eye by the client for whatever reason.

5. Electric Eye and Referrer will keep this Agreement strictly confidential and will not disclose these terms to any third party.

6. This Agreement represents the entire agreement with respect to the referral fee matter and supersedes all prior understandings or agreements. This Agreement may not be amended, only terminated.

7. This agreement will continue until terminated by either party. Termination shall be given in writing with prior written notice.

8. During the term of this agreement, neither party will attempt to do business with each other’s clients for the purpose of circumventing the referral fee obligation or delay invoicing to the client in order to avoid the obligations under this Agreement.

9. This Agreement shall be governed by the laws of the State of Ohio, without regard to its conflicts of laws principles.

10. Any referrals made by new clients to Electric Eye during or after the engagement period are not part of this Agreement and no referral fee shall be due.

11. Payment shall be made via PayPal within 30 days of receipt of payment by new client.
